These Terms of Service govern your access to https://clipcanto.site and your purchase or use of creative services provided by Clip Canto Studio Inc., a Washington corporation operating under the brand Clip Canto Studio. By using our website, approving a quote, or engaging us for services, you agree to these Terms.

Acceptance

You represent that you are legally able to enter into a binding agreement. If you act for a business or other organization, you represent that you have authority to bind that organization. Additional written terms in an accepted quote, statement of work, or service agreement form part of your agreement with us. If those terms conflict with these Terms, the more specific written terms control.

Services

Clip Canto Studio provides creative production and related studio services, which may include video editing, short-form content preparation, motion graphics, post-production, formatting, and creative consultation. The scope, deliverables, schedule, revision process, and technical specifications for each project will be described in a written quote or project agreement. Delivery dates depend on timely client feedback, approvals, and materials.

Quotes & Payment

Quotes are based on the information available when issued and may expire on the date stated. Work outside the approved scope, including additional revisions or changed specifications, may require a revised quote. Payment timing, deposits, invoicing, and accepted payment methods will be stated in the applicable quote or invoice. Clients are responsible for authorized charges and applicable taxes. We may pause work or withhold final deliverables while an invoice is overdue.

Client Materials & Usage Rights

You retain ownership of materials you provide, including footage, audio, logos, scripts, and brand assets. You grant us a limited license to store, reproduce, edit, and otherwise use those materials solely to perform the requested services. You confirm that you own or have permission to use all submitted materials and that our authorized use will not violate third-party rights. We will not publicly display completed client work without permission.

Intellectual Property

Upon full payment, you receive the usage rights expressly identified in the applicable project agreement. Clip Canto Studio retains ownership of its pre-existing tools, workflows, templates, methods, know-how, and reusable production elements. Drafts, unused concepts, project files, and source materials are not included unless expressly listed as deliverables. Third-party assets remain subject to their respective license terms.

Acceptable Use

You may not use our website or services to create, distribute, or promote unlawful, fraudulent, defamatory, infringing, deceptive, or harmful material. You may not attempt to disrupt the website, gain unauthorized access, introduce malicious code, scrape protected content, or misrepresent your identity or authority. We may decline or discontinue work that reasonably appears to violate these requirements.

Disclaimers

Services and the website are provided on an “as available” basis. Creative results depend on project scope, source materials, platform requirements, and client decisions. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted website availability. We do not warrant that third-party platforms will accept, publish, or continue displaying any deliverable.

Limitation of Liability

To the fullest extent permitted by law, Clip Canto Studio Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost data, business opportunities, or goodwill. Our total liability arising from a project will not exceed the amount paid to us for the specific services giving rise to the claim. These limitations do not apply where prohibited by law.

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute must be brought in the state or federal courts serving Oakland, California, in Alameda County, and each party consents to their jurisdiction and venue.

Changes

We may revise these Terms to reflect changes in our services, operations, or legal obligations. Updated Terms will be posted on this page with a revised effective date. Changes apply prospectively unless applicable law requires otherwise.
